Headquartered in Aldershot, UK, Forest Care was a leading provider of experienced healthcare staff, supplying nursing and residential homes across the South East.
Following the initial instruction by Forest Care’s owner, Steve Kent, Avondale set to work strategically marketing the business with a view to creating a suite of suitable acquirers. In particular, the purchaser needed to be fully aware of the services provided by the care agency, in order to maintain continuity of service and the high level of client satisfaction for which Forest Care is known.
After undertaking a careful market analysis, Avondale received several suitable offers for Forest Care. The eventual purchaser was Contemplation Homes, a provider of nurse and needs-led services in the South East. As Forest Care was structured as a Limited Liability Partnership, the Commission for Social Care Inspection (CSCI) certification had to be transferred to the new owners. Avondale managed the entire transaction, from the Heads of Terms to exchange, and then an additional two months for CSCI to complete the transfer before the deal was complete.
The final outcome of the deal was highly satisfactory to all parties, and involved Mr Kent receiving 100% cash on completion of the acquisition. Ultimately, the deal provided a win-win for both Forest Care and Contemplation. The a seamless transition process has allowed Contemplation Homes to continue providing high-quality services to the public.
